Terms Of Service

These Terms of Service govern use of the organization’s services and resources. By engaging with the organization, whether through service agreements, project work, or use of website features users and clients accept these terms. Acceptance of individual project statements of work, contracts, or orders may incorporate additional terms and will take precedence to the extent expressly stated.

Acceptance of Terms

Accessing or using services constitutes agreement to these terms and any referenced policies. If the user does not agree, they should refrain from using the organization’s services. The organization may refuse service, terminate accounts, or deny access at its discretion where terms are violated.

Service Usage and Responsibilities

Clients are responsible for providing accurate information necessary for the performance of services and for obtaining any authorizations required to allow the organization to perform work on third-party systems. The organization will use reasonable efforts to perform services in a timely and professional manner, but performance timelines depend on cooperation and responsiveness from the client as well as external dependencies.

Intellectual Property

Unless otherwise agreed in writing, intellectual property created by the organization in the course of providing services is licensed to the client for use in connection with the delivered project. Pre-existing materials, tools, templates, and methodologies remain the sole property of the organization. Clients receive only the rights explicitly granted in the applicable agreement; all other rights are reserved.

Limitation of Liability

To the maximum extent permitted by law, the organization’s liability for direct damages arising out of or relating to services is limited to fees paid for the specific services that gave rise to the claim during the twelve months preceding the claim. The organization will not be liable for indirect, incidental, special, consequential, or punitive damages, nor for lost profits, loss of business, or loss of data, even if advised of the possibility of such damages. Nothing in these terms shall limit liability that cannot legally be limited.

Termination

Either party may terminate an engagement in accordance with the termination provisions specified in the governing agreement. The organization may suspend or terminate services immediately for non-payment, breach of material obligations, or where continued performance would violate law or third-party terms. Upon termination, the client shall pay for work completed through the termination date and take possession of deliverables as provided in the governing agreement.

Changes to Terms

The organization reserves the right to modify these Terms of Service from time to time. Updated terms will be posted and will become effective as specified in the notice of change. Continued use of services after modification constitutes acceptance of the revised terms.

These Terms of Service, together with any incorporated agreements, constitute the entire agreement between the parties regarding the subject matter and supersede prior understandings. If any provision is found unenforceable, the remaining provisions remain in full force and effect.
